Form 8-K Explainer

Form 8-K is a current report U.S. public companies file to disclose specified material events between periodic reports. Common triggers include significant acquisitions or dispositions, bankruptcy, new material agreements, financing, leadership changes, auditor changes, and conclusions that prior financial statements should not be relied upon.

Many triggering events must be reported within four business days, although particular items and Regulation FD disclosures can follow different timing. The form is organized by numbered items, and attached exhibits may contain the agreement, press release, financial statements, or investor presentation behind the summary.

Some disclosures are filed while others are furnished, a distinction that can affect legal treatment and incorporation into other filings. Companies may amend an 8-K when required financial information is not available initially or when previously reported information changes.

An 8-K is not a daily diary and does not capture every important business development. Readers should identify the triggering item, read the exhibits, compare the disclosure with earlier commitments, and watch for amendments, later 10-Q or 10-K accounting, and any effect on risks or liquidity.

Specified major events require prompt disclosure outside the normal annual cycle.

The item number explains why the form was filed.

Contracts, releases, and financial information may sit behind the summary.

Read attachments and amendments together.

Form 8-K covers defined events rather than a continuous diary.

Use it with periodic filings and company disclosures.
